Data Processing Agreement (DPA)
This Data Processing Agreement (“Agreement”) forms part of the contractual relationship between Zinyaw Host (“Company”, “we”, “our”, or “us”) and the Customer (“you” or “Controller”) regarding the processing of personal data in connection with the provision of our services (“Services”).
1. Definitions
For the purposes of this Agreement, the following terms have the meanings given below:
- "Personal Data" means any information relating to an identified or identifiable natural person.
- "Processing" means any operation performed on Personal Data, whether or not by automated means, including collection, storage, use, disclosure, or deletion.
- "Controller" means the party that determines the purposes and means of processing Personal Data.
- "Processor" means the party that processes Personal Data on behalf of the Controller.
- "Data Subject" means the individual to whom Personal Data relates.
2. Roles and Responsibilities
Zinyaw Host acts as the Processor and the Customer acts as the Controller with respect to the Personal Data processed through the Services.
3. Purpose of Processing
The Processor shall process Personal Data only for the purposes of providing the agreed Services and in accordance with documented instructions from the Controller.
4. Compliance with Laws
Both parties agree to comply with all applicable data protection laws, including but not limited to the General Data Protection Regulation (GDPR) where applicable.
5. Confidentiality
The Processor shall ensure that any person authorized to process Personal Data is subject to confidentiality obligations.
6. Security Measures
The Processor agrees to implement appropriate technical and organizational measures to protect Personal Data against accidental or unlawful destruction, loss, alteration, unauthorized disclosure, or access.
7. Subprocessors
The Processor may engage subprocessors to assist in processing Personal Data. The Processor will inform the Controller of any intended changes concerning the addition or replacement of subprocessors and provide the Controller with the opportunity to object.
8. Data Subject Rights
The Processor shall assist the Controller, to the extent possible, in fulfilling obligations to respond to requests from Data Subjects to exercise their rights under applicable data protection laws.
9. Data Breach Notification
The Processor shall notify the Controller without undue delay upon becoming aware of any personal data breach affecting the Controller’s Personal Data.
10. Data Return and Deletion
Upon termination or expiration of the Services, the Processor shall, at the choice of the Controller, return or securely delete all Personal Data processed on behalf of the Controller, unless otherwise required by law.
11. Audit Rights
The Controller may audit or appoint an auditor to verify the Processor’s compliance with this Agreement, subject to reasonable notice and confidentiality obligations.
12. Liability
Each party shall be liable for its own breaches of this Agreement or applicable data protection laws.
13. Governing Law
This Agreement shall be governed by and construed in accordance with the laws applicable to the Services and parties.
